So the only difference is in the text relocating? Either way the completely filtered stock image of a BG is horribly nooby. The lighting doesn't make sense for the characters if they're in the streets at night with their source of light being the building BEHIND them.. Obviously they're faces won't be glowing and the tops of the heads as shiny... For the most part they look simply slapped on last minute. Interesting textures over them, but still. Fix the lighting and the BG. Don't use fancy fonts like that. It's ugly anyway... ESPECIALLY the drop shadow around it...

So is the only difference the texture? I think the first one looks better...The texture on the background is nice, but the same texture on the characters may be a little excessive...you lose all the details of the textures. Also, the text...consider a blockier text...check out dafont.com and see if there's anything that might fit it better. one that comes to mind is a font called chocolate something...ehh check it out.
